API Terms of Service

In accordance with the Digital Millennium Copyright Act (“DMCA”), we’ve adopted the policy below toward copyright infringement. We reserve the right to (1) block access to or remove material that we believe in good faith to be copyrighted material that has been illegally copied and distributed by any of our advertisers, affiliates, content providers, members or users and (2) remove and discontinue service to repeat offenders.

Remember that your use of Atom’s Services is at all times subject to the [Terms of Use](/legal/termsOfUse), which incorporates this Copyright Dispute Policy. Any terms we use in this Policy without defining them have the definitions given to them in the [Terms of Use](/legal/termsOfUse).

### Procedure for Reporting Copyright Infringements

If you believe that material or content residing on or accessible through the Services infringes your copyright (or the copyright of someone whom you are authorized to act on behalf of), please send a notice of copyright infringement containing the following information to the Atom Designated Agent to Receive Notification of Claimed Infringement (our “Designated Agent”, whose contact details are listed below):
1. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright or other intellectual property interest that has been allegedly infringed;
2. Identification of copyrighted works or other intellectual property that you claim has been infringed, or, if multiple copyrighted works or other intellectual property are covered by a single notification, a representative list of such works or other intellectual property;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, including information regarding the location of the infringing materials that you seek to have removed, with sufficient detail so that we are capable of finding and verifying its existence;
4. Contact information about the notifier including address, telephone number and, if available, email address;
5. A statement by the notifier that the notifier has a good faith belief that the material identified in (1)(c) is not authorized by the copyright or intellectual owner, its agent, or the law; and
6. A statement by the notifier, made under penalty of perjury, that the information provided in the notice is accurate and that the notifying party is authorized to make the complaint on behalf of the copyright or intellectual property owner.

**Once Proper Bona Fide Infringement Notification is Received by the Designated Agent**. Upon receipt of a proper notice of copyright infringement, we reserve the right to:
1. remove or disable access to the infringing material;
2. notify the content provider who is accused of infringement that we have removed or disabled access to the applicable material; and
3. terminate such content provider’s access to the Services if he or she is a repeat offender.

### Procedure to Supply a Counter-Notice to the Designated Agent 

If the content provider believes that the material that was removed (or to which access was disabled) is not infringing, or the content provider believes that it has the right to post and use such material from the copyright or intellectual property owner, the copyright or intellectual property owner’s agent, or, pursuant to the law, the content provider may send us a counter-notice containing the following information to the Designated Agent:

1. physical or electronic signature of the content provider;
2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;
3. A statement that the content provider has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material; and
4. Content provider’s name, address, telephone number, and, if available, email address, and a statement that such person or entity consents to the jurisdiction of the Federal Court for the judicial district in which the content provider’s address is located, or, if the content provider’s address is located outside the United States, for any judicial district in which Company is located, and that such person or entity will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Designated Agent, Company may, in its discretion, send a copy of the counter-notice to the original complaining party informing that person that Company may replace the removed material or cease disabling it in ten (10) business days. Unless the copyright or intellectual property owner files an action seeking a court order against the content provider accused of committing infringement, the removed material may be replaced or access to it restored in ten (10) to fourteen (14) business days or more after receipt of the counter-notice, at Company’s discretion.

### Repeat Infringer Policy

In accordance with the DMCA and other applicable law, Company has adopted a policy of terminating, in appropriate circumstances and at Company’s sole discretion, the accounts of users who are deemed to be repeat infringers. Company may also at its sole discretion limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Thanks for choosing Atom ("__Atom__", "__we__",” "__us__", "__our__"). Atom’s mission is to empower people to make informed investing decisions with best in class software and data. By signing up or otherwise using Atom’s Fee-Based Services, including all associated features and functionalities, websites and user interfaces, as well as all content and software applications associated with our services (collectively, the "__Premium Service__" or "__Premium Service__"), or accessing any news, documents, other content or material that is made available through the Premium Services (the "__Content__") you (the "__Customer__") are entering into a binding contract with Atom Finance, Inc (the "__Terms__").

Your agreement with us includes these Terms and any additional terms and conditions for Atom’s Terms of Use.

### Atom Fee-Based Services and Trial Period

Anyone that creates an account with Atom will receive up to thirty (30) days free access to the highest tier of Atom Premium Services (“Trial Period”). The Trial Period may be shortened or lengthened at Atom’s discretion, at any time and for any reason, with or without notice. No payment information is required for the Trial Period.

When the Trial Period expires, users that have subscribed to Premium Services and set up a payment method will immediately begin the relevant term for such Premium Services. If you have not subscribed to Premium Services, upon expiration of the Trial Period, you will be downgraded to Atom’s free subscription plan.

### Payment Obligations

For Customers that purchase our Premium Services, fees are specified at the Premium Services interface “check-out” — and must be paid in advance. Payment obligations are non-cancelable for the relevant term and, except as expressly stated otherwise at check-out, fees paid are non-refundable. For clarity, in the event Customer downgrades any subscriptions from a paid plan to a free plan, Customer will remain responsible for any unpaid fees under the paid plan, and Premium Services under the paid plan will be deemed fully performed and delivered upon expiration of the initial paid plan subscription term.

__Fees are stated exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). Customer will be responsible for paying all Taxes associated with its purchases, except for those taxes based on our net income.__

### Downgrade for Non-Payment

If any fees owed to us by Customer (excluding amounts disputed reasonably and in good faith) are three (3) days or more overdue, we may, without limiting our other rights and remedies, downgrade any Premium Services to free plans until those amounts are paid in full. Customer acknowledges and agrees that a downgrade will result in a decrease in certain features and functionality and potential loss of access to data contained in paid-features and services. Premium Services auto-renew until cancelled, so long as a valid payment method exists on your account.

### Limitation of Liability

OTHER THAN IN CONNECTION WITH A PARTY’S INDEMNIFICATION OBLIGATIONS HEREUNDER, IN NO EVENT WILL EITHER CUSTOMER’S OR ATOM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE THESE TERMS (WHETHER IN CONTRACT OR TORT OR UNDER ANY OTHER THEORY OF LIABILITY) EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER FOR PREMIUM SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE LAST EVENT GIVING RISE TO LIABILITY. THE FOREGOING WILL NOT LIMIT CUSTOMER’S PAYMENT OBLIGATIONS UNDER THE “PAYMENT OBLIGATIONS” SECTION ABOVE.

IN NO EVENT WILL EITHER CUSTOMER OR ANY MEMBER OF ATOM HAVE ANY LIABILITY TO THE OTHER PARTY OR TO ANY THIRD PARTY FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The Premium Services support logins using two-factor authentication ("__2FA__"), which is known to reduce the risk of unauthorized use of or access to the Premium Services. We therefore will not be responsible for any damages, losses or liability to Customer, Authorized Users, or anyone else if any event leading to such damages, losses or liability would have been prevented by the use of 2FA. Additionally, Customer is responsible for all login credentials, including usernames and passwords, for administrator accounts as well the accounts of your authorized users (where applicable). We will not be responsible for any damages, losses or liability to Customer, authorized users, or anyone else, if such information is not kept confidential by Customer or its authorized users, or if such information is correctly provided by an unauthorized third party logging into and accessing the Premium Services.

The limitations under this “Limitation of Liability” section apply with respect to all legal theories, whether in contract, tort or otherwise, and to the extent permitted by law. The provisions of this “Limitation of Liability” section allocate the risks under these Terms between the parties, and the parties have relied on these limitations in determining whether to subscribe to Premium Services and the pricing for the Premium Services according to these Terms.

### Force Majeure

We will not be liable by reason of any failure or delay in the performance of our obligations on account of events beyond our reasonable control, which may include denial-of-service attacks, a failure by a third party hosting provider or utility provider, strikes, shortages, riots, fires, acts of God, war, terrorism, pandemics, and governmental action.
